Starting in 1986, with the issuance of Consolidated Bonds, Fifty-seventh Series, each series of Consolidated Bonds ("Bonds") has been delivered upon original issuance as fully registered bonds, registered in the name of Cede & Co., as nominee of the Depository Trust Company, New York, New York ("DTC"), as sole registered holder of the Bonds. DTC is an automated depository for securities and a clearinghouse for securities transactions, and is responsible for maintaining a book-entry system for recording the ownership interests in the bonds of its participants, and the transfers of such interests among its participants. DTC's participants (which generally include banks, trust companies and securities dealers) are responsible for maintaining the records of individual purchasers' beneficial ownership interests in the Bonds. Individual purchases of beneficial ownership interests in the Bonds may only be made through book entries (without certificates issued by the Port Authority) made on the books and records of DTC and its participants, generally, in denominations of $5,000 and integral multiples of $5,000.

During the period in which DTC or its nominee is the sole registered holder of the Bonds, payments with respect to the Bonds are made to DTC in accordance with the agreements between the Port Authority and DTC with respect to the Bonds; disbursal of such payments to DTC's participants is the responsibility of DTC, and disbursal of such payments to the individual purchasers of beneficial ownership interests in the Bonds is the responsibility of DTC's participants.

During the period in which DTC or its nominee is the sole registered holder of the Bonds, any notice of redemption to be provided by the Port Authority is provided solely by mail to DTC or its nominee in accordance with the agreements between the Port Authority and DTC with respect to the Bonds, without requirement of publication of any such notice; provision of any such notice to DTC's participants is the responsibility of DTC and provision of any such notice to the individual purchasers of beneficial ownership interests in the Bonds is the responsibility of DTC's participants.

Individuals who purchased beneficial ownership interests in Port Authority Consolidated Bonds, Fifty-seventh Series, or any subsequent series of Consolidated Bonds or notes, should contact the bank, trust company or securities dealer that has a record of their beneficial ownership interest in that series for information with respect to payments and notices of redemption for that series.
